1. Agreement to Terms

By accessing or using Universal Web Solutions services, you agree to comply with and be bound by these Terms of Service. If you disagree with any part of these terms, you may not use our services.

2. Services Provided

Universal Web Solutions provides digital agency services including but not limited to:

• Web development and design services
• UI/UX design and prototyping
• SEO and digital marketing services
• E-commerce development and integration
• Branding and identity design
• Social media management

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information needed to perform services
• Respond to communications in a timely manner
• Obtain necessary licenses and permissions for content provided to us
• Review and approve deliverables within agreed timeframes
• Make payments according to agreed schedules

4. Payment Terms

Unless otherwise agreed in writing:

• A deposit of 50% is typically required before work begins
• Final payment is due upon project completion or as specified in the contract
• Late payments may incur interest at 1.5% per month
• Projects may be suspended until outstanding payments are received

5. Intellectual Property

Work Product: Upon full payment, clients receive the rights to use and modify the final deliverables for their business purposes.

Our Tools: We retain rights to our proprietary methods, processes, and pre-existing code libraries used in creating deliverables.

Third-Party Assets: Clients are responsible for obtaining licenses for third-party assets (fonts, stock images, software) unless purchased through us.

6. Project Timeline and Delivery

Timelines are estimates based on project scope and our current workload. While we strive to meet deadlines, we cannot guarantee specific completion dates. We will keep clients informed of progress and any potential delays.

7. Revisions and Approval

Projects typically include a set number of revision rounds as specified in the project agreement. Additional revisions beyond the agreed scope may incur additional fees.

8. Confidentiality

We agree to maintain confidentiality of client business information. Clients agree not to share our proprietary techniques, code, or business processes without permission.

9. Warranty and Liability

Limited Warranty: We warranty that our services will be performed professionally and meet industry standards for 30 days from delivery.

Limitation of Liability: Universal Web Solutions shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.

10. Termination

Either party may terminate the agreement with written notice. In case of termination, the client agrees to pay for all work completed up to the termination date plus any applicable cancellation fees.

11. Disclaimer

Our services are provided "as is" without warranties of any kind. We do not guarantee specific business outcomes (e.g., sales, traffic) from our work.

12. Changes to Terms

We reserve the right to modify these terms. Material changes will be communicated to clients. Continued use of our services constitutes acceptance of the updated terms.
